Maples Advises AmerisourceBergen on US$6.5 Billion Acquisition of Alliance Healthcare
Maples and Calder, the Maples Group’s law firm, was delighted to act as lead Luxembourg counsel for AmerisourceBergen Corporation (“AmerisourceBergen”), on the acquisition of the Walgreens Boots Alliance (“WBA”)’s Alliance Healthcare wholesale pharmacy businesses for US$6.5 billion. The sale included US$6.275 billion in cash and US$2 million shares of AmerisourceBergen common stock.

A team of lawyers based in the firm’s Luxembourg office advised AmerisourceBergen on this transaction and was led by Marjorie Allo, Partner and head of the Corporate team in Luxembourg, with Gautier Loiselet and Theodora Radkova who are also members of the Corporate team.

WBA is a global leader in retail pharmacy, impacting millions of lives every day through dispensing medicines and providing accessible and high-quality care. In WBA’s statement, “the company will use the cash proceeds to reduce debt and accelerate growth of its core retail pharmacy and healthcare businesses”.
